Micro Ambassadors - Terms and Conditions

AMBASSADOR AND INFLUENCER TERMS AND CONDITIONS

1. Definitions

"Company" refers to [Company Name].

"Influencer" refers to the individual or entity entering into this agreement.

"Program" refers to the Company's social media-based loyalty scheme.

"Content" refers to any material created by the Influencer in connection with the Program.

2. Engagement Terms

The Influencer agrees to:

  • Create and share authentic content promoting the Micro scooters

  • Maintain professional standards in all communications

  • Comply with all applicable laws and regulations

  • Follow Company's brand guidelines

  • Use required disclosure tags (#ad, #sponsored, etc.)

    • 3. Compensation

    3.1. Base Compensation:

  • Commission structure based on approval of submitted content

  • Commission will be earned as points. Points will be converted to cash at a rate of 1 point = 1p, paid out sporadically and at the request of the influencer.

  • Additional compensation for exclusive content creation at the discretion of Micro Scooters Ltd

    3.2. Payment Terms:

  • Payments are processed weekly

  • All taxes are the Influencer's responsibility

    • 4. Content Rights

    4.1. The Influencer grants Micro scooters Ltd:

  • Non-exclusive license to use, reproduce, and distribute Content

  • Right to repurpose Content across Company channels

  • Permission to use Influencer's name and social handles

    4.2. Content Ownership:

  • Influencer retains original copyright of Content

  • Company receives perpetual right to use Content

  • Mutual attribution rights apply

    • 5. Compliance

    5.1. The Influencer must:

  • Clearly disclose sponsored content

  • Comply with FTC guidelines

  • Provide accurate Program information

  • Maintain transparency with followers

    5.2. Prohibited Activities:

  • Making false claims about the Micro scooter Ltd

  • Purchasing fake followers or engagement

  • Promoting competitor products

  • Sharing confidential Company information

    • 6. Termination

    6.1. Either party may terminate this agreement:

  • With 30 days written notice

  • Immediately for material breach

  • For repeated compliance violations

    6.2. Post-Termination:

  • Final payment processing within 60 days

  • Removal of Program-specific content

    • 7. Confidentiality

    7.1. The Influencer agrees to:

  • Maintain confidentiality of Program details

  • Protect proprietary information

  • Not share performance metrics

  • Secure Company data

    • 8. Representations and Warranties

    8.1. The Influencer represents and warrants:

  • Having necessary rights and permissions

  • Compliance with applicable laws

  • Accurate follower and engagement metrics

  • No conflicts with existing agreements

    • 9. Limitation of Liability

    9.1. Neither party shall be liable for:

  • Indirect or consequential damages

  • Lost profits or opportunities

  • Third-party claims

  • Technical platform issues

    • 10. Modifications

    10.1. The Company reserves the right to:

  • Modify Program terms with 30 days notice

  • Adjust commission structures

  • Update compliance requirements

  • Revise content guidelines

    • 11. Acknowledgment

    By participating in the Program, the Influencer acknowledges reading, understanding, and agreeing to these terms and conditions.

    All data collected and stored is done so in line with the Micro Scooter Ltd privacy policy.
